These Terms and Conditions (“Terms”) govern your use of our website, unnooti.com (the “Site”), and the services provided by Unnooti (“we,” “our,” or “us”). By accessing or using the Site, you agree to abide by these Terms. If you do not agree with these Terms, please do not use our Site or services.

Changes to Terms
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on this Site. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.
Data
As a data processor, we process data strictly on behalf of our customers, who are typically the data controllers.
If you stop to be a client of unnooti, we will hold your data for 30 days, after this period your data will be permanently removed from our system. After data is removed from our system, we cannot recover it under any circumstances, your data is your responsibility. You agree to use the Site and services for lawful purposes only and in accordance with these Terms. Prohibited uses include, but are not limited to:
- Violating any applicable laws or regulations.
- Interfering with the Site’s functionality or security.
- Transmitting harmful or malicious software.
Please be aware: Your data is your responsibility. Once deleted, it cannot be recovered by any means.
Additionally, if your account remains inactive for a continuous period of 30 days, we will classify your account as dormant and treat it as no longer active. Your account and associated data will be scheduled for deletion.
Forces Beyond Our Control
Neither we nor you shall be liable for any failure or delay in performing our respective obligations where such failure or delay results from any cause that is beyond the reasonable control of either you or we. Such causes include, but are not limited to: failure of one of our servers, power failure, internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the party in question. If such circumstances continue for a continuous period of more than 14 days, either Party may terminate this Agreement by written notice to the other Party.
Account Registration
To access certain features of the Site and services, you may need to create an account. You agree to provide accurate, complete, and current information during the registration process and to keep this information updated. You must be a registered user to access the Service. You are solely responsible for keeping your password secure. You will be solely responsible and liable for any activity that occurs under your user name. You must use all reasonable endeavours to prevent any unauthorised access to, or use of, the Service and you must notify us immediately in the event of any unauthorised access or use.
Intellectual Property
All content and materials on the Site and service, including but not limited to text, graphics, logos, and software, are the property of Unnooti or its licensors and are protected by intellectual property laws. You may not use, reproduce, or distribute any content from the Site without our express written permission.
Limitation of Liability
Unnooti is not liable for any indirect, incidental, special, or consequential damages arising from your use or inability to use the Site. Our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify and hold Unnooti, its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, damages, losses, liabilities, or expenses arising from your use of the Site or violation of these Terms.
Fee Increases.
unnooti may increase Fees at any time by providing written notice to Customer at least thirty (30) days prior to the effective date of the Fee change.
Termination/ Cancellation
You are solely responsible for the cancellation of your account. You can cancel your account at any time by sending an email to support@unnooti.com, you may terminate the license at any time by giving at least 30 day’s prior notice. Upon cancellation, you acknowledge you will no longer be able to access your subscription. We reserve the right to terminate or suspend your account and access to the Site and service at our discretion, without notice, for any reason, including but not limited to a breach of these Terms. Termination/Cancellation of subscription fees payed to us is down to you as the subscriber, unnooti will not be liable to return any excess subscription fees paid if continued payment is made after a request to cancel/downgrade an account. It is soley the responsibility of you, the subscriber to cancel any standing order, credit card payments or direct debits in regards to accounts held with unnooti when you terminate your account(s), or close down any locations within unnooti. We do not and cannot audit accounts for usage, so continued payment, will result in us assuming our contract with you is still live, regardless if you access your account or not.
Payment/ Fees
The license fee (the initial amount of which has been previously notified to you by us), as time to time varied, shall be paid by you to us by Direct Debit. Any variation to the license fee will be notified to you by us in writing at least one month before it becomes effective. The license fee and other charges payable by you to us are exclusive of any applicable VAT which shall be payable by you at the rate and in the manner prescribed by law against submission of a valid tax invoice. Any charges payable by you to us in addition to the license fee shall be paid within 10 working days after the receipt by you of our invoice. We shall have the right to charge you interest on overdue invoices at the rate of 3% per month.
– Downgrading or canceling your account may cause the loss of access, content or features of the Service. Unnooti does not accept any liability for such loss.
– All subscription fees must be paid monthly or yearly in advance, failure to make payment may result in loss of access to your unnooti subscription until payment has been made.
– Your payment will start the moment you have login access to unnooti (not when you decide to go live).
– All subscription fees must be paid in advance.
– All face to face, call out training or visit request’s are chargeable.
– There are no refunds for unused time.
– There are no refunds for training.
– Unless requested, your text bundles will renew once it has fallen low. You may request in writing for auto-topup to be switched off.
– If you have any questions about charges made to your account, please contact us immediately. If there are charges made in error, we will credit your account or credit card account for the appropriate amount.
– SMS, WhatsApp, Email reminders or marketing communications (an optional feature) are charged per SMS or email sent. You are responsible for ensuring you have sufficient credit for these services (these are charged separately from the monthly subscription). Refunds will not be issue for unused SMS reminder credits if you cancel your account.
Service Levels
Subject to the terms and conditions of this Agreement, Unnooti will use commercially reasonable efforts to ensure the Subscription Services are Available at least 99.9% of the time, measured monthly over the Term, excluding periods of unavailability due to any Exceptions.
“Available” means the Subscription Services are accessible and functional over the Internet for the Customer and its Authorized Users, operating in substantial accordance with the defined Specifications.
“Exceptions” refer to any of the following:
- (a) Acts or omissions by the Customer or any Authorized User, or the use of Access Credentials not strictly in compliance with this Agreement and the Specifications;
- (b) Failures caused by the Customer (Customer Failure);
- (c) Internet connectivity issues on the Customer’s or its Authorized User’s side;
- (d) Force Majeure Events (as defined in Section 15.9);
- (e) Interruptions, outages, or issues caused by third-party software, hardware, systems, networks, facilities, or other infrastructure not provided by Unnooti under this Agreement;
- (f) Scheduled Downtime (as defined in Section 6.2);
- (g) Disabling, suspension, or termination of Services pursuant to Section 2.6.
Information Security
Unnooti will implement security measures in line with its current data privacy and security policy, as amended from time to time.
Customer Control and Responsibility
The Customer retains sole responsibility for:
- (a) All Customer Data, including accuracy, quality, legality, content, and usage;
- (b) All information, instructions, and materials provided by or on behalf of the Customer or any Authorized User;
- (c) The Customer’s IT infrastructure, including software, hardware, systems, networks, and databases (whether maintained directly or via third-party services);
- (d) The security and use of all Access Credentials for both the Customer and its Authorized Users; and
- (e) All access to and use of the Services and Unnooti Materials, whether directly or indirectly through the Customer’s systems or Access Credentials, with or without the Customer’s consent, including any results, decisions, or actions derived from such use.
Access and Security
The Customer agrees to implement all necessary physical, administrative, and technical safeguards to:
- (a) Securely manage the distribution and use of Access Credentials and prevent unauthorized access to the Services; and
- (b) Monitor and control the content and submission of Customer Data, including any data uploaded for processing through the Services.
